Welcome to InventoryResponder (“we”, “our”, “us”), an Instagram automation service designed specifically for Indian retailers and shop owners. These Terms of Service govern your use of our platform that helps automate customer inquiries through Instagram messaging by integrating with your inventory systems.

1. Acceptance of Terms

By accessing or using InventoryResponder, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you may not use our service.

2. Description of Service

InventoryResponder provides:

• Automated Instagram messaging capabilities for business accounts
• Integration with inventory management systems to provide real-time product information
• Customer inquiry processing and automated response generation
• Analytics and reporting on customer interactions
• Dashboard for managing automation rules and responses

Our service operates through Meta’s Instagram Graph API and requires a valid Instagram Business or Creator account.

3. Eligibility and Account Requirements

To use InventoryResponder, you must:

• Be at least 18 years old or have parental consent
• Have a valid Instagram Business or Creator account
• Be a legitimate retailer, shop owner, or business entity operating in India
• Provide accurate and complete information during registration
• Maintain the security of your account credentials

Business Verification: We reserve the right to verify your business status and may request additional documentation to confirm your eligibility.

4. User Responsibilities

As a user of InventoryResponder, you agree to:

• Comply with Instagram’s Terms: Follow Instagram’s Terms of Service, Community Guidelines, and Business Policies.
• Accurate Information: Provide truthful and up-to-date inventory data and business information.
• Customer Service: Maintain appropriate customer service standards and respond to customer complaints.
• Content Standards: Ensure all automated responses are professional, accurate, and comply with applicable laws.
• Data Security: Protect your Instagram account credentials and notify us of any security breaches.
• Legal Compliance: Comply with all applicable Indian laws, including consumer protection and data privacy regulations.

5. Prohibited Uses

You may not use InventoryResponder to:

• Send spam, unsolicited messages, or engage in harassment
• Violate Instagram’s Community Guidelines or Terms of Service
• Impersonate other businesses or individuals
• Distribute harmful, illegal, or inappropriate content
• Engage in fraudulent or deceptive business practices
• Attempt to circumvent or service limitations or security measures
• Share your account credentials with unauthorized parties

6. Service Availability and Limitations

We strive to provide reliable service but cannot guarantee:
– Continuous availability (maintenance windows may occur)
– Compatibility with all inventory systems
– Real-time synchronization with Instagram’s API
– Support for all Instagram features or message types

Service limits may apply to message volume, API calls, or other usage metrics to ensure fair use.

7. Intellectual Property Rights

Our Rights: InventoryResponder and its original content, features, and functionality are owned by Galific Solutions and are protected by Indian and international copyright, trademark, and intellectual property laws.

Your Rights: You retain ownership of your business content, inventory data, and customer communications. By using our service, you grant us a limited license to process and transmit this data as necessary to provide our services.

8. Payment Terms

• Fees are charged in advance on a monthly or annual basis.
• All prices are in Indian Rupees (INR) and include applicable taxes.
• Payment is non-refundable except as required by Indian consumer protection laws.
• We may change pricing with 30 days’ notice to existing subscribers.
• Failure to pay may result in service suspension or termination.

9. Data and Privacy

Your privacy is important to us. Our collection and use of your data is governed by our Privacy Policy, which is incorporated into these terms by reference.

We collect data only as necessary to provide our services, do not sell your data to third parties, and implement appropriate security measures to protect your data.

10. Termination

You may terminate your account at any time by contacting us or using our account deletion feature.

By Us: We may suspend or terminate your account if you:

• Violate these Terms of Service
• Engage in prohibited activities
• Fail to pay required fees
• Pose a risk to our service or other users

Effect of Termination: Upon termination, your access will cease, and we will delete your data according to our Privacy Policy.

11. Disclaimers and Limitations of Liability

• Service Disclaimer: InventoryResponder is provided “as is” without warranties of any kind.
• Limitation of Liability: To the extent permitted by Indian law, our liability for damages is limited to the amount paid within the 12 months preceding the claim.
• Third-Party Services: We are not responsible for Instagram’s services or third-party integrations.

12. Indemnification

You agree to indemnify and hold harmless Galific Solutions and its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

• Your use of the service
• Your violation of these terms
• Your violation of third-party rights
• Your business practices or customer interactions

13. Dispute Resolution

Governing Law: These terms are governed by the laws of India.
Jurisdiction: Disputes shall be subject to the exclusive jurisdiction of the courts in Noida, Uttar Pradesh, India.
Mediation: Before pursuing legal action, we encourage resolution through direct communication or mediation.

14. Force Majeure

We shall not be liable for any failure or delay due to events beyond our control, including but not limited to acts of God, natural disasters, wars, terrorism, or Instagram outages.

15. Changes to Terms

We may modify these Terms of Service at any time. When changes occur, we will update the Effective Date at the top, notify users via email or dashboard, and provide at least 30 days’ notice before major updates. Continued use constitutes acceptance.

16. Severability

If any provision is found invalid or unenforceable, the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and InventoryResponder regarding your use of the service.
